Terms of Service

Minnesota Design and Drafting ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at mndnd.com (the "Site") and all related CAD design, 3D modeling, legacy drawing conversion, drafting, and client vault services (collectively, the "Services").

By accessing the Site, submitting project files, or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree with all of these Terms, you are prohibited from using the Site and Services.

1. Services Provided

Minnesota Design and Drafting provides outsourced B2B computer-aided design (CAD) modeling, 2D shop drawing creation, legacy file conversions, design updates, and related engineering drafting support. All work is completed based on the specifications, files, dimensions, and instructions provided by the Client.

2. Client Responsibilities & File Submissions

A. Accuracy of Input Data

You are solely responsible for the accuracy, completeness, and legibility of all input data, including physical measurements, redlines, hand sketches, legacy blueprints, and design specifications submitted to us. We are not responsible for errors in final drawings resulting from inaccurate or incomplete client-provided data.

B. Ownership & Rights to Submitted Material

You represent and warrant that you own or have the necessary licenses, rights, and permissions for all files, designs, logos, and materials uploaded to our secure vault or sent to us. You guarantee that your submissions do not infringe upon the intellectual property, trademark, or proprietary rights of any third party.

3. Intellectual Property Rights

A. Work Product Ownership

Upon full payment of all applicable fees, Minnesota Design and Drafting assigns to the Client all right, title, and interest in and to the final CAD files, 2D drawings, 3D models, and documentation created specifically for the Client ("Work Product").

B. Background IP & Tools

We retain all rights to our pre-existing tools, proprietary drafting workflows, custom automation scripts, standard title block templates, and general drafting know-how used to generate the Work Product.

4. Payment Terms, Estimates & Orders

  • Quotes & Estimates: Project pricing is provided via written quote or estimate prior to project commencement. Quotes are valid for 30 days unless otherwise stated.

  • Invoicing: Payment terms (e.g., upfront payment, milestone payments, or Net 30 for approved corporate accounts) will be specified in your project agreement or invoice.

  • Late Payments: Unpaid balances beyond the agreed terms may accrue interest at the rate of 1.5% per month (or the maximum allowed by law). We reserve the right to withhold final, un-watermarked deliverables or pause active work if accounts are past due.

5. Review, Revisions & Acceptance

  • Review Period: Upon notification of completed work, you will have ten (10) business days to review the final deliverables in your client portal or vault.

  • Revisions: Minor drafting corrections resulting from our failure to follow agreed-upon client specifications will be corrected at no additional charge.

  • Scope Changes: Any design changes, dimension alterations, or additional requests introduced after work has commenced or after final approval will be billed as a scope change at our standard hourly rates.

  • Deemed Acceptance: If no feedback or revision requests are received within ten (10) business days of delivery, the Work Product will be deemed accepted as final.

6. Manufacturing Verification & Limitation of Liability

IMPORTANT NOTICE: Minnesota Design and Drafting provides technical CAD modeling and drafting services based on client directives. We do not provide licensed professional engineering (PE) structural calculations, safety certifications, or legal sign-offs unless explicitly contracted under a separate, qualified agreement.

  • Client Shop Verification: It is the sole responsibility of the Client or the Client's manufacturing partners to inspect, prototype, test, and verify all dimensions, fits, tolerances, and design safety prior to full-scale tooling, CNC machining, or production runs.

  • Cap on Liability: To the maximum extent permitted by applicable law, Minnesota Design and Drafting shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, production downtime, material scrap, or business interruption) arising out of or related to our Services or Work Product.

  • Maximum Damages: In no event shall our total aggregate liability exceed the total amount paid by the Client to Minnesota Design and Drafting for the specific project giving rise to the claim.

7. Client Portal & Secure Vault Use

  • You are responsible for maintaining the confidentiality of your account credentials for our portal/vault system.

  • You agree to notify us immediately at support@mndnd.com of any unauthorized access or security breach involving your account.

  • We reserve the right to suspend or terminate portal access for violations of these Terms or non-payment.

8. Data Retention & Storage

While we maintain backups of client projects as a courtesy, Minnesota Design and Drafting is not an archival storage provider. We recommend downloading and backing up all final files promptly upon delivery. We reserve the right to purge completed project files from our primary servers after ninety (90) days following project completion and final payment.

9. Confidentiality

Both parties agree to keep confidential all non-public technical and business information shared during the course of the engagement. Proprietary design data, trade secrets, and drawing files will not be disclosed to any third party without prior written consent, except as required by law.

10. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to our Services shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Minnesota, and both parties consent to personal jurisdiction therein.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to mndnd.com with an updated "Effective Date." Your continued use of our Site or Services after modifications are published constitutes acceptance of the updated Terms.
